The Opportunity
We have an exciting new positions for an experienced, Assistant Company Secretary to join our head office CoSec team. The successful candidate will be required to support the Company Secretary in all aspects of statutory reporting for Dechra group subsidiaries, share schemes administration, Insurance, Trademark Management and AGM preparation.
The role holder will also be tasked with line management and development of the junior team members and keeping up to date with developments in relevant legislation and regulations, and ensuring the organisation remains compliant.
Role Responsibility
So, what will you be doing? This role has a broad and varied remit and the successful candidate will have responsibility for duties including:
- Assisting with the management of Trademarks registration and associated requirements.
- Maintenance of statutory records, including registers of members, registers of directors’ interests, board minutes, etc.
- Assist in the maintenance of subsidiaries in other jurisdictions.
- Keeping up to date with developments in relevant legislation and regulations, and ensuring the organisation remains compliant.
- Maintaining relationships with external service providers, including lawyers, accountants, insurance brokers and share schemes administrators.
- Assisting with the maintenance of PLC website.
- Assistance in maintaining the various company share option schemes, compiling HMRC tax returns, and in implementing new schemes as and when required.
- Assistance with PLC year end requirements, including the report and accounts and Annual General Meeting.
- Ensuring the Company remains up to date in respect of its Companies House filings and overseas equivalents.
- Assisting with Group insurance arrangements including renewal and claims.
- Assisting with Committee and Board papers
- Act as Secretary to Data Protection Committee and ESG Committee
- Line management and overseeing the development of the Graduate Trainees
The Ideal Candidate

- Experience of using electronic board packs
- Experience of using Blueprint is desirable but not essential
- Experience of setting up and maintaining electronic filing system
- CGI qualified or qualified lawyer
- Possess a high degree of common sense, tact, discretion and diplomacy
- Previous experience working in a PLC or listed organisation
